Sales Order Terms & Conditions
- Pricing and Taxes All prices quoted are exclusive of GST and other applicable statutory levies, which will be charged extra at the rate prevailing at the time of dispatch.
- Payment Terms Payment must be made in as per agreement of the invoice. Late payments will attract an interest charge of 20% per month on the outstanding balance. The title of the goods remains with the seller until full payment is realized.
- Delivery and Risk Delivery dates are estimates. The seller shall not be liable for delays caused by circumstances beyond their control (force majeure). Risk of loss or damage to the goods passes to the buyer upon handover to the carrier or dispatch from our warehouse.
- Warranty and Liability As a trading and distribution entity, we pass through the original equipment manufacturer (OEM) warranty to the buyer. We make no independent warranties, express or implied. In no event shall our liability exceed the purchase price of the specific goods giving rise to the claim, nor shall we be liable for any indirect, incidental, or consequential damages.
- Claims and Returns Any claims regarding shortages, defects, or transit damage must be reported in writing within 48 hours of receipt of the goods. Returns are only accepted with prior written authorization.
- Jurisdiction All disputes arising from this transaction shall be subject to the exclusive jurisdiction of the competent courts in Telangana.
Purchase Order Terms & Conditions
1. Order Acceptance -The supplier’s execution of this order, or dispatch of goods, constitutes acceptance of these terms and conditions. No variations will be accepted unless agreed upon in writing.
2. Delivery Schedule and Penalties Time is of the essence. If delivery is not completed by the specified date, the buyer reserves the right to cancel the order without liability or accept the delayed delivery subject to liquidated damages of 10% of the delayed goods' value per week of delay.
3. Inspection and Rejection All goods are subject to inspection and approval upon arrival at our facility. We reserve the right to reject and return, at the supplier's risk and expense, any goods that are defective, fail to meet stated specifications, or do not match sample quality.
4. Invoicing and Payment Payments will be processed as per agreed days after the successful receipt, inspection, and acceptance of the goods, along with the submission of a valid tax invoice compliant with GST regulations.
5. Warranties and Indemnity The supplier warrants that all goods supplied are new, free from defects in material and workmanship, and strictly conform to the specifications provided. The supplier agrees to indemnify and hold the buyer harmless against any claims, damages, or liabilities arising from defective goods or intellectual property infringement.
6. Jurisdiction Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Telangana.
